www.juneandriver.com (the "Site") is published by JUNE AND RIVER, a simplified joint stock company with a capital of €10,000, whose registered office is at 16 rue Simone Weil 31100 Toulouse, registered in the Toulouse Trade and Companies Register under number 922 427 877, with intra-community VAT number FR34922427877 (hereinafter "JUNE AND RIVER"). 

Application of the General Terms and Conditions of Sale

The Site is reserved for retail sales to private individuals acting for personal purposes (the "Customer"). The Customer represents and warrants that he/she is acting as a final consumer of the products ordered. The general terms and conditions of sale (the "GTCS") detailed below apply to and form an integral part of all orders and sales of products and services placed via the Site (the "Products") with JUNE AND RIVER by the Customer. The Customer must read the GCS prior to any order (the "Order"), the GCS being available on the Sites. Consequently, placing an Order implies the Customer's full prior and unconditional acceptance of the GCS by clicking on the button "I have read and accept the general terms and conditions of sale". JUNE AND RIVER reserves the right to adapt or modify these GCS at any time. The version of the GCS applicable to a sale is the one appearing online on the site www.juneandriver.com at the time of the Order. 

I. Information on the Site and accessibility of the Site

www.juneandriver.com is an e-commerce site owned and managed by JUNE AND RIVER. The Site is accessible to all the users of the Internet network in principle 24/24h, 7/7d, except interruption, programmed or not, by JUNE AND RIVER or its providers, for the needs of its maintenance and/or safety or case of absolute necessity (as defined hereafter). JUNE AND RIVER cannot be held responsible for any damage, whatever its nature, resulting from the unavailability of the Site. JUNE AND RIVER does not guarantee that the Site will be free of anomalies, errors or bugs, nor that the Site will function without breakdown or interruption. In this respect, JUNE AND RIVER may determine freely and at its sole discretion any period of unavailability of the Site or its content. JUNE AND RIVER cannot be held responsible for problems of data transmission, connection or unavailability of the network. JUNE AND RIVER reserves the right to modify the Site for technical or commercial reasons. When these modifications do not alter the conditions of the supply of the services, in a substantial and negative way, the Customer can be informed of the intervening modifications, but his acceptance is not required.

II. REGISTRATION Registration on the Site

In order to place an Order, the Customer must first register on the Site by creating an account containing the Customer's information (the "Account"). The Customer's registration on the Site is validated by JUNE AND RIVER after verification of the standard form completed by the Customer. The Customer receives an email confirming registration. When creating his Account, the Customer must ensure the accuracy and completeness of the data he provides. It is the Customer's responsibility to keep their personal details up to date. In the event of an error in the recipient's details, JUNE AND RIVER cannot be held responsible for the impossibility of delivering the Products. By registering on the Site, the Customer declares and guarantees to JUNE AND RIVER that he is of legal age and has the legal capacity to contract. JUNE AND RIVER may delete the Customer's Account at any time, for any reason, at its sole discretion, without being held responsible.

III. Products

The Products offered for sale are those described on the Site on the day the Customer consults the Site, subject to availability. This information is updated automatically in real time. However, JUNE AND RIVER cannot be held responsible for any error in the update, whatever its origin. In this respect, JUNE AND RIVER cannot be held responsible for the cancellation of an Order for a Product due to the exhaustion of stocks. JUNE AND RIVER takes the utmost care in the presentation and description of its Products to best satisfy the Customer's information. It is however possible that errors may appear on the Site, which the Customer acknowledges and accepts. JUNE AND RIVER does not guarantee the accuracy or security of information transmitted or obtained via the Site. Thus, the photographs, graphics and descriptions of the products offered for sale are only indicative and in no way engage the responsibility of JUNE AND RIVER. In particular, the photographs illustrating the Products may differ slightly from reality due to the settings on the Customer's screen or the lighting when the photographs were taken. Following an Order, the Customer may receive a part previously returned by another person. It is specified that JUNE AND RIVER only accepts the return of Products that are intact and not worn, these two conditions being checked before they are returned to JUNE AND RIVER's stock.

IV. Commands

Placing an Order on the Site is subject to compliance with the procedure set up by JUNE AND RIVER on the Site comprising successive stages leading to validation of the Order. The Customer may select as many Products as he/she wishes, within the limit of the normal needs of a consumer and within the limit of five (5) identical Products (same model, same colour and same size). These Products will be added to the basket (the "Basket"), which summarises the Products chosen by the Customer as well as the prices and charges relating thereto. The Customer may freely modify the Basket before validating the Order. Validation of the Order and clicking on the "I have read and accept the general terms and conditions of sale" button shall constitute confirmation of the Customer's acceptance of the General Terms and Conditions of Sale, the Products purchased, their prices and the associated costs. A confirmation email summarising the Order (Product(s), price, availability of the Product(s), quantity...) will be sent to the Customer by JUNE AND RIVER. To this end, the Customer formally accepts the use of electronic mail for confirmation by JUNE AND RIVER of the content of the Order. Invoices are available in the "my account" section of the Site.

V. Refusal to process an Order

JUNE AND RIVER reserves the right to withdraw at any time any Product displayed on the Site and to replace or modify any content or information appearing on the Site. Despite JUNE AND RIVER's best efforts to satisfy its customers' expectations, JUNE AND RIVER may refuse to process an Order after having sent the Customer the confirmation email summarising the Order. JUNE AND RIVER shall not be liable to the Customer or to any third party for any damage resulting from the removal of a Product from the Site, or from the replacement or modification of any content or information appearing on this Site, or from the refusal to process an Order after having sent the confirmation email summarising the Order. JUNE AND RIVER also reserves the right to refuse or cancel an Order from a Customer with whom it has a dispute over the payment of a previous order or who has acted in breach of these GTC, or in the event of objective suspicion of fraud. JUNE AND RIVER formally prohibits the use of its Site for professional purposes, in particular with a view to purchase for resale on a professional basis. Consequently, JUNE AND RIVER reserves the right to refuse an order placed by a professional or by a person acting obviously for professional purposes, in particular if the quantity of items ordered exceeds abnormally the needs of a consumer. 

VI. PRICES AND TERMS OF PAYMENT

The prices of the products are indicated on the Site in euros, including VAT. JUNE AND RIVER reserves the right to modify its prices at any time, but the products will be invoiced based on the rates in effect at the time of registration and payment of the order, subject to availability. The products are payable in cash at the time of the effective order. Payment for purchases can be made either via Paypal or via the secure platform of our payment service provider WooPayments. Paypal (Europe) S.à.r.l. et Cie is a Luxembourg-based limited partnership, registered with the Luxembourg Trade and Companies Register under number B118349, with its registered office at 22-24, Boulevard Royal – L-2449 Luxembourg. For more information, the Customer can visit the following website: https://www.paypal.com. JUNE AND RIVER does not have access to the payment data of its customers, which are directly transmitted to WooPayments or Paypal. During each transaction, WooPayments and the banks of the payment issuer conduct an analysis of the transaction to limit the risks of fraudulent behavior. Following this analysis, some orders may be blocked. In this regard, JUNE AND RIVER cannot be held responsible for any refusal to process a blocked order due to suspected fraud. The Customer expressly acknowledges that providing their credit card number during the order constitutes authorization to debit their account for the price of the ordered products. If necessary, a notification of order cancellation due to non-payment is sent to the Customer by JUNE AND RIVER to the email address provided by the Customer during registration on the Site. The data recorded and stored, excluding payment data, by JUNE AND RIVER constitute proof of the order and all past sales. The data recorded by Paypal or WooPayments constitute proof of any financial transaction between the Customer and JUNE AND RIVER.

VII. DELIVERY

Delivery refers to the transfer of physical possession of the Products to the Customer (the 'Delivery'). Delivery occurs, at the Customer's choice, either by picking up the Products at the selected pickup point (Relay Point, subject to acceptance of the parcel by the selected Relay Point) or by receiving the Products at the provided postal address. It is clarified that the address must be the Customer's residence, that of a natural person of their choice, or that of a legal entity (delivery to their business). Delivery cannot be made to hotels or PO boxes. The delivery charges applicable to the order are those mentioned on the Site at the time of the order in the 'Delivery and Returns' section. When JUNE AND RIVER handles the shipment of the Product, the risks of loss or damage to the Product are transferred to the Customer at the time of Delivery. However, when the Customer handles the shipment of the Product, the risks are transferred to the Customer upon delivery of the Product to the carrier. Transportation is provided by the services of Chronopost and Colissimo, from Monday to Saturday, depending on the option chosen by the Customer when validating their order. JUNE AND RIVER delivers orders within a maximum period of twelve (12) working days for delivery in Metropolitan France, this period being counted from the first working day after the order validation. To ensure that these deadlines can be met, the Customer must ensure that accurate and complete information regarding the delivery address (such as, but not limited to: street number, building, staircase, access codes, names and/or intercom numbers, etc.) is provided. In case of exceeding the delivery deadline, and as long as the delivery of the Product is not effective, the Customer can request the cancellation of the sale and receive a refund of the amounts paid within a maximum period of fourteen (14) days from their request. Notwithstanding the foregoing, JUNE AND RIVER cannot be held responsible for harmful consequences resulting from a delay in delivery, with only the reimbursement of the Product by JUNE AND RIVER being possible, excluding any other form of compensation. In case of inability to deliver, due to an incorrect delivery address or the Customer's failure to pick up their order from the selected pickup point, no reshipment can be made, and the Customer will be refunded within five (5) days from the receipt of the order by JUNE AND RIVER.

VIII. Right of withdrawal - returns and REFUNDS

9.1. Deadline and Procedure for Exercising the Right of Withdrawal - CUSTOMER'S RETURN COST In accordance with Article L.221-18 of the Consumer Code, the Customer has a period of fourteen (14) days from the receipt of the order to exercise their right of withdrawal with JUNE AND RIVER, without having to provide any reasons. Beyond this fourteen (14) day period, the sale is final and definitive. The right of withdrawal can be exercised either by logging into the customer account in the 'order' section or by using and sending the withdrawal form template found in Appendix 1 of the General Terms of Sale, by mail to the following address: JUNE AND RIVER – Returns Department – 16 rue Simone Weil – 31100 Toulouse, France, or by email to contact@juneandriver.com. The right of withdrawal cannot be exercised for a product made to the customer's specifications, used, worn, washed, damaged, or unsealed. 9.2. Return Procedure for the Order under the Right of Withdrawal - RETURN COSTS The right of withdrawal is exercised without any penalty. Return costs are the responsibility of the customer, meaning we do not provide a prepaid return label. The product must be returned to JUNE AND RIVER in its original packaging, in its original condition, new, unworn, and unwashed. 9.3. Refund of Products Returned under the Right of Withdrawal The refund of the order by JUNE AND RIVER takes place no later than fourteen (14) days from the date it is informed of the Customer's decision to withdraw, provided that within this period, it has received the product subject to the right of withdrawal. JUNE AND RIVER processes the refund using the same means of payment that was used for the order. If this means of payment has expired, the Customer must contact customer service to modify the refund method. JUNE AND RIVER cannot be held responsible for delays in the refund. The refund for an order paid with a gift card or credit will be automatically issued as credit. In the event of non-compliance by the Customer with these GTC, JUNE AND RIVER cannot proceed with the refund of the products concerned. In any case, return costs are borne by JUNE AND RIVER if the product delivered to the customer is different from the product ordered or if it is delivered damaged.

IX. Warranties - Limitation of liability

10.1. Limitation of Liability JUNE AND RIVER's liability for any product purchased on the Site is strictly limited to the purchase price of that product. In no event shall JUNE AND RIVER be liable for the following losses, regardless of their origin: Loss of revenue or sales Loss of business Loss of profits or contracts Loss of anticipated savings Loss of data Loss of working time or management Damage to reputation Loss of opportunity, including the opportunity to order a product Moral harm The documents, descriptions, and information regarding the products on the Site are not covered by any warranty, express or implied, except for warranties provided by law. JUNE AND RIVER does not provide any warranty regarding any damage that may be caused by the transmission of a computer virus, worm, time bomb, Trojan horse, cancelbot, logic bomb, or any other form of programming routine designed to damage, destroy, or otherwise impair the functionality of a computer or hinder its proper operation, including any transmission resulting from the download of any content by the Customer, the software used by the Customer to download the content, the Site, or the server that allows access to it. In this regard, the Customer acknowledges that it is their responsibility to install appropriate antivirus and security software on their computer hardware and any other device to protect them against any bugs, viruses, or other harmful programming routines. The Customer acknowledges assuming all risks related to any content downloaded or otherwise obtained through the use of the Site and agrees that they are solely responsible for any damage caused to their computer system or any loss of data resulting from the download of such content. JUNE AND RIVER is only obligated to deliver products that comply with contractual provisions. Products are considered in compliance with contractual provisions if the following conditions are met: (i) they must conform to the description and possess the characteristics outlined on the Site; (ii) they must be suitable for the purposes for which products of this kind are generally designed; (iii) they must meet the quality and resistance criteria generally accepted for products of the same kind and that can reasonably be expected. In addition, JUNE AND RIVER guarantees consumers against non-compliance and hidden defects for products sold on the Site under the following conditions: 10.2. Legal Guarantees All products for sale on the Site benefit from the legal guarantee of conformity (as defined in articles L217-4 and following of the Consumer Code) and the guarantee against hidden defects (as defined in articles 1641 and following of the Civil Code), allowing the Customer to return defective or non-compliant products at no cost. However, modified, repaired, or integrated products by the Customer are excluded from the warranty. The warranty does not apply to apparent defects or defects that the Customer knew or could not ignore at the time of the order, especially considering the information provided by JUNE AND RIVER. The warranty also does not cover products damaged after the transfer of risks to the Customer or due to misuse. Legal Guarantee of Conformity According to Article L217–4 of the Consumer Code: "The seller is obliged to deliver goods in conformity with the contract and is liable for conformity defects existing at the time of delivery. It is also liable for defects in conformity resulting from packaging, assembly instructions, or installation when the latter has been charged to it by the contract or has been carried out under its responsibility." According to Article L217–5 of the Consumer Code: "The good is in conformity with the contract: 1° If it is suitable for the customary use expected of a similar good and, if applicable: - if it corresponds to the description given by the seller and possesses the qualities that the latter presented to the buyer in the form of a sample or model; - if it has the qualities that a buyer can legitimately expect in view of the public statements made by the seller, the producer, or its representative, particularly in advertising or labeling; 2° Or if it has the characteristics defined by mutual agreement between the parties or is suitable for any special use sought by the buyer, brought to the attention of the seller and which the latter has accepted." If the Customer notices a lack of conformity of the product, within the meaning of Article L. 217-5 of the Consumer Code, they can exercise the legal guarantee of conformity within a period of two (2) years from the delivery of the product and are exempt from providing proof of the existence of the lack of conformity during this period. Their request must be addressed to the Customer Relations Service at contact@juneandriver.com. When the legal guarantee of conformity is implemented, in accordance with Articles L. 217-9 and L. 217-10 of the Consumer Code, JUNE AND RIVER undertakes: to repair the product or replace it with an identical product based on available stock, at the Customer's choice, unless this choice incurs a manifestly disproportionate cost for JUNE AND RIVER compared to the other option, given the value of the product or the importance of the defect; or to refund the price of the product if repair or replacement is impossible, or if replacement or repair, as the case may be, would cause a major inconvenience to the Customer, or if replacement or repair, as the case may be, cannot be implemented within one month from the Customer's request. Guarantee against Hidden Defects According to Article 1641 of the Civil Code: "The seller is bound by the warranty for hidden defects of the thing sold that makes it unfit for the use for which it is intended, or that diminishes this use so much that the buyer would not have acquired it, or would have given it only a lower price, if he had known them." If the Customer discovers a hidden defect within the meaning of Article 1641 of the Civil Code, they can exercise the legal guarantee against hidden defects within a period of two years from the discovery of the defect. Their request must be addressed to the Customer Relations Service at contact@juneandriver.com. When the legal guarantee against hidden defects is implemented, according to the Customer's choice and after assessing the defect: either to refund the total price of the returned product, or to refund part of the price of the product if the Customer decides to keep the product. Finally, it is reminded to the Customer that the legal guarantee of conformity and the legal guarantee against hidden defects are not exclusive of each other and do not deprive the Customer of any other contractual or commercial warranty that may be granted by JUNE AND RIVER. They also do not deprive the Customer of their right of withdrawal as defined in Article 9 of the GTC. 10.3. Force Majeure In the event of force majeure preventing the execution of the order or these GTC, JUNE AND RIVER informs the Customer within fifteen (15) days of the occurrence of this event, by email or by registered letter with acknowledgment of receipt. Expressly considered as cases of force majeure, in addition to those usually retained by the jurisprudence of French courts and tribunals, are total or partial strikes, lockouts, riots, boycotts, or other industrial actions or commercial disputes, civil unrest, insurrection, war, acts of terrorism, weather conditions, epidemics, blockage of means of transport or supply for any reason, earthquake, fire, storm, flood, water damage, government or legal restrictions, legal or regulatory changes in marketing forms 

Reservation of ownership

JUNE AND RIVER retains full and complete ownership of the Products sold until full payment of the price, including principal, costs, taxes and compulsory contributions.

I. Partial disability

If one or more of the stipulations of these GTC are held to be invalid or declared as such in application of a law, regulation or following a final decision by a competent court, the other stipulations will retain all their force and scope.

II. Non-waiver

No tolerance, inaction or inertia on the part of JUNE AND RIVER shall be construed as a waiver of its rights under the GTCS.

III. Applicable law - Competent jurisdiction - Mediation 

The sale of Products is subject to French law. However, the choice of French law cannot deprive the consumer Customer residing outside France, of the application of the mandatory and protective provisions for consumers provided by the law of the country in which the Customer has its habitual residence, provided that JUNE AND RIVER carries out its activity or directs its activity towards this country. In the event of a dispute arising from an Order or sale, the Customer may submit a written complaint to Customer Services at contact@juneandriver.com. The Customer may also contact the dispute resolution platform set up by the European Commission at the following address: http://ec.europa.eu/consumers/odr/, particularly in the event of a cross-border dispute. Any dispute must be submitted exclusively to the competent courts within the jurisdiction of the Paris Court of Appeal, or, if the Customer is a consumer, to any legally competent court.
